Ben represents companies and investors regarding their most important transactions and general business matters. Ben also counsels clients regarding estate and business succession planning.
Ben has substantial experience drafting and negotiating mergers and acquisitions, asset sales, stock purchase agreements, complex joint ventures, and real estate lease and sale transactions. Ben also advises clients in their venture capital and growth financings (including private placements), technology and intellectual property licensing arrangements, and secured lending transactions. He has represented owners of energy, chemical, and other infrastructure projects in EPC and other construction contracts, large equipment purchases and leases, tolling agreements, manufacturing agreements, O&M contracts, feedstock agreements, and transportation contracts.
Ben began his legal career at a large international law firm in Virginia, during which time he temporarily served as in-house counsel to an international oil and gas firm for nine months. He also has experience outside the legal field supervising operations at a thriving, family-owned almond and citrus ranch in the East San Joaquin Valley.
